Terms of Service
These terms are between Rosa Industries LLC (“we,” “us”), Sonoma County, California, and the business or person using Loden (“you”). Loden is estimating and job management software at rosa-app.netlify.app, along with related setup and support (the “Service”).
By accepting these terms or using the Service, you agree to them. If you are agreeing on behalf of a business, you confirm that you are authorized to bind it.
1. What Loden does
Loden helps residential contractors write estimates. You describe a job in plain English, and Loden builds a line-by-line estimate from your own labor rate library, showing quantity times rate on each line. It also includes e-signed proposals, PDF export, invoices with deposits and partial payments, a job pipeline with photos, a calendar, tasks, customer records, reports, an AI assistant and a lead form.
Loden doesn’t provide live market or retail material pricing. Prices come from the rates you set or approve.
2. Your account
- Keep your login details secure, and tell us right away if you think someone else has accessed your account.
- You are responsible for what happens under your account, including what your staff do.
- Give us accurate information and keep it up to date.
3. Setup and support (founding members)
For founding members, as described in your written offer or order:
- We build your initial rate library from information you provide, such as past estimates and your rates. You review and approve it.
- You can use an optional quarterly rate check-in.
- You get a direct line to the founder. Small rate changes you request, such as updating existing rates or adding a few items, are made within 2 business days.
- Founding members keep their founding price for as long as their subscription stays active without a break. If you cancel and later return, the then-current price applies.
4. Billing, the guarantee, and when you start paying
- Price: the price you agreed to in writing (by email or order form) after your demo. We will confirm it before billing starts.
- The guarantee: “Happy with your first three estimates, or your money back.” Billing starts when your subscription starts, as agreed in writing. If, after you have used Loden on your first three real estimates and we have worked on your rates together, you tell us you are not happy with them, we will refund everything you have paid and you can close your account. Ask for the refund within 60 days of your start date. The guarantee applies to founding members and to any plan whose written offer says so.
- Billing cycle: monthly, or annual prepay if you choose it (annual pricing is quoted at the time). Charges are billed in advance for each period. Subscriptions renew automatically until you cancel.
- Before your first charge, we will tell you the price, the billing frequency, that the plan renews automatically and how to cancel, and we will get your consent. We will send a confirmation with the same information.
- Price changes: we will give at least 30 days’ notice by email before changing the price for a non-founding plan. You can cancel before the change takes effect.
- Taxes: prices don’t include taxes that may apply. If any apply, we will show them before you are charged.
- Late or failed payments: if a payment fails, we will let you know. After 14 days, we may pause the account until it is resolved. Your data isn’t deleted while the account is paused.
5. Cancellation
- You can cancel at any time by emailing blake@rosaindustries.com, and we will confirm the cancellation by reply.
- Cancellation takes effect at the end of the current paid period. You keep access until then.
- Refunds: monthly fees aren’t refunded for partial months. For annual prepay, if you cancel within 60 days of paying, we will refund the annual payment in full. After 60 days, annual payments aren’t refundable. Cancelling stops the next renewal, and you keep access until the end of the paid year.
- After cancellation, you can export your data for 30 days. Then it is deleted, as described in the Privacy Policy.
6. Your data
- You own your data: your rate library, customer and job records, photos and files.
- You give us permission to store, process and display it only as needed to run the Service for you, including sending it to the service providers listed in our Privacy Policy.
- We don’t sell your data. We don’t share your rates with other customers or use them to price other customers’ jobs.
- You are responsible for having the right to enter your clients’ information and to email or contact them through Loden. That includes following any rules that apply to your marketing.
7. AI output and your responsibility for estimates
- Loden uses AI (Anthropic’s Claude) to turn job descriptions into line items and to answer assistant questions. AI can make mistakes, such as a missed line item, a wrong quantity, a misread description or a rate applied to the wrong task.
- You are responsible for reviewing and approving every estimate, proposal and invoice before you send it or rely on it. That includes quantities, rates, scope, materials, allowances, permits, taxes and terms.
- Loden is a tool, not a contractor, estimator, engineer, or legal or tax advisor. It doesn’t check code compliance, permit requirements, licensing rules or the requirements for California home improvement contracts. You are responsible for making sure your proposals and contracts meet those rules.
- Comparisons we show during demos (Loden’s total next to yours) are for your evaluation only. They aren’t a promise of future accuracy.
8. E-signatures and payments
- Loden records e-signatures on proposals. You are responsible for deciding whether an e-signature is right for a given contract, and for following your own legal requirements.
- Loden records payments you receive. It doesn’t process or collect your clients’ payments.
9. Acceptable use
Don’t use the Service for anything illegal; send spam or unlawful messages through the Service; upload malware; try to access other accounts or data; reverse engineer or overload the Service; or resell the Service without our written permission.
We may suspend accounts that break these rules. We will give notice where reasonable.
10. Our software
We own Loden and its software, design and templates. You get a limited, non-transferable right to use it during your subscription. If you send us feedback or suggestions, we may use them without any obligation to you.
11. Availability and changes
We work to keep Loden running, but the Service is provided “as is” and “as available.” We don’t promise it will be uninterrupted or error-free, or that data can always be recovered after a loss. Keep your own copies of important documents, for example by saving estimate and invoice PDFs. We may improve or change features. If we remove a major feature you pay for, we will tell you in advance, and you can cancel and get a prorated refund for any prepaid time.
12. Disclaimer
To the extent the law allows, we disclaim all warranties not stated in these terms, including implied warranties of merchantability, fitness for a particular purpose, and accuracy of AI-generated output.
13. Limitation of liability
To the extent the law allows:
- We aren’t liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost jobs, underbid or overbid estimates, or lost data, even if we were told they were possible.
- Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the claim.
- Some of these limits may not apply where the law doesn’t allow them.
14. Indemnity
You agree to cover our reasonable costs if a third party, such as your client, makes a claim against us because of estimates, proposals, contracts or work you sent or performed, or because you broke these terms.
15. Ending the agreement
You can stop at any time (see section 5). We can end the agreement with 30 days’ notice, or right away if you seriously break these terms. If we end it without cause, we will refund any prepaid fees for unused time. Sections 6, 7, 12, 13, 14 and 16 continue to apply after the agreement ends.
16. Governing law and disputes
These terms are governed by California law. Let’s try to work out any problem directly first: email blake@rosaindustries.com, and we will respond within 10 business days. If we can’t resolve it, disputes will be handled in the state or federal courts in Sonoma County, California, unless the law requires otherwise.
17. Changes to these terms
We will email you at least 30 days before material changes take effect. If you keep using the Service after that, you accept the new terms. If you don’t agree, you can cancel before they take effect.
